Upgrade to 3.5?

We are on Vault 3.16(3158) SG version.
We want to upgrade to Vault 3.5.

How painful or earcy is this upgrade?

Are there any gotchas?

Our environment is SQL2K with IIS 6.0.

There are some recommendations for the upgrade in the release notes here: http://support.sourcegear.com/viewtopic.php?t=6423

Vault 3.1 to Vault 3.5 is a paid upgrade unless you have current Gold Support. You will need to enter a different license key, and those can be obtained online or by emailing the store at sgstore at sourcegear.com.

Most important is to perform a database back-up before starting.

We have Gold membership. Do we still have to get new license keys?

Yes, you'll still need to enter in a different key. Just let the store know you have gold support.
