We are currently using SoS 4.1 with a VSS 6d implimintation.
I am intrested in moving our VSSService to another server and at that time upgrade to SoS Version 4.2.
One of my lead developers is telling me that I can simply move the shared VSS directory to the new server and access the code via SoS and that I don't have to install VSS 6d on the server. Is this correct?

SourceOffSite Server does not need to be on the same machine as the VSS database. However, you do need a VSS Client installation on the SOS Server machine. The VSS Client provides the automation component used by the SOS Server to communicate with the VSS database.
A configuration note: If the SOS Server is on a different machine than the VSS database, the SOS Server service should run as a domain account rather than the Local System account. This configuration is in Control->Panel->Admin Tools->Services->SOSServerService4->Properties->Logon As.
