We are looking to upgrade our database from SQL Server 2000 to SQL Server 2005 or 2008. Is there anything unique we need to do for vault to work with the upgraded database? Our plan is to run backup of our existing database and then follow the MS upgrade guide. What steps do I need to do on the vault side?

What version of Vault are you running?
If you aren't running a very old version, then there isn't anything to worry about. Just make a backup of your sgvault and sgmaster databases before the upgrade. If your Vault version is prior to Vault 4.1.x, then the version of Vault versus the version of SQL you are going to needs to be looked at.
